24/7 Electric Inc. – Terms and Conditions of Purchase

These Terms and Conditions of Purchase (T&Cs;) apply to all purchases made by 24/7 Electric Inc. (“Buyer”) from any supplier (“Seller”). Acceptance of these T&Cs; occurs when Seller acknowledges a purchase order, commences performance, or delivers goods or services. Any additional or conflicting terms proposed by Seller are rejected unless expressly agreed to in writing by an authorized representative of Buyer.

1. Orders and Pricing Orders may be issued electronically or in writing. Prices for goods and services shall be as stated on the order and are firm. No price increases shall apply due to tariffs, duties, taxes, or market fluctuations. Buyer reserves the right to cancel or modify any order with at least ten (10) days’ notice. Seller must notify Buyer within three (3) days of any proposed changes to delivery or pricing for written approval.

2. Delivery All shipments shall be delivered F.O.B. Buyer’s designated destination unless otherwise agreed. No additional charges for packing, shipping, or handling shall apply unless specified in writing. Time is of the essence, and Seller must notify Buyer immediately of any potential delays.

3. Warranties Seller warrants that all goods and services shall be new, free of defects, conform to applicable specifications, and comply with all relevant laws and standards. Warranties shall remain valid for the longer of eighteen (18) months from shipment, the Seller’s standard warranty, or as required by law. Buyer may require repair, replacement, or reimbursement for nonconforming products or services at Seller’s cost.

4. Indemnification Seller shall indemnify and hold harmless Buyer, its affiliates, officers, employees, and agents against any and all claims, losses, damages, or liabilities arising out of Seller’s breach, negligence, or violation of law. This includes product liability, environmental, or data-related claims.

5. Limitation of Liability Neither party shall be liable for indirect, incidental, punitive, or consequential damages, except for obligations under indemnification, warranty, or insurance provisions. Seller’s liability shall not be limited where prohibited by law.

6. Intellectual Property Seller shall not use or reproduce Buyer’s trademarks, trade names, or logos without prior written consent. Upon termination, Seller must cease all use of Buyer’s branding or promotional materials.

7. Default and Remedies In the event of default, including late delivery, defective goods, or breach of warranty, Buyer may reject or return products, require correction, or seek any remedies available under law. Buyer’s inspection or payment does not constitute acceptance of goods.

8. Insurance Requirements Seller shall maintain adequate insurance coverage, including commercial general liability (minimum $5,000,000), automobile liability (minimum $2,000,000), workers’ compensation, and product liability insurance. Buyer shall be named as an additional insured on all applicable policies.

9. Confidentiality Seller shall treat all information shared by Buyer as confidential and shall not disclose or use such information except as required to perform obligations under an order.

10. Compliance Seller shall comply with all applicable laws and regulations, including anti-corruption, anti-bribery, labor, and trade compliance. Seller must also ensure that its suppliers and subcontractors adhere to equivalent standards of ethical and legal conduct.

11. Governing Law These Terms shall be governed by the laws of the Province of Alberta and the laws of Canada applicable therein. Any disputes shall be resolved in the courts of Calgary, Alberta. 12. Entire Agreement These Terms and any related purchase orders constitute the entire agreement between Buyer and Seller and supersede all prior communications. Any modification must be in writing and signed by both parties.
